Ownly Terms of Service

Welcome to Ownly ("Ownly," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Ownly website, application, and related services (collectively, the "Service").

By creating an account or using Ownly, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.

1. Eligibility

Ownly is intended for individuals 14 years of age or older.

By creating or using an Ownly account, you confirm that:

  • You are at least 14 years old;
  • The information you provide to Ownly is accurate and truthful;
  • You will not misrepresent your age to access the Service; and
  • You will comply with these Terms and applicable laws.

Ownly is not intended for individuals under 14 years of age.

If we become aware that an individual under 14 has created an account or is using Ownly, we may suspend or terminate the account and take appropriate action consistent with applicable law.

2. Accounts

Ownly accounts are created through Google Sign-In.

Ownly does not create passwords and does not request, receive, or store your Google account password.

You are responsible for providing accurate account information and for maintaining the security of the Google account you use to sign in.

You must not knowingly allow another person to use your account.

If you believe your account has been accessed without your permission, you should contact Ownly at ownlyeducation@gmail.com.

3. Ownly's Educational Purpose

Ownly is designed to provide financial-literacy education and related educational tools.

Ownly is not a bank, broker-dealer, investment adviser, financial planner, tax adviser, accountant, attorney, or other professional financial-services provider.

Information provided through Ownly is for general educational and informational purposes only.

Nothing provided through Ownly constitutes:

  • Personalized investment advice;
  • A recommendation to buy, sell, or hold a particular investment;
  • A guarantee of financial results;
  • Tax, legal, accounting, or other professional advice; or
  • An offer or solicitation to buy or sell securities.

You should not make financial decisions solely based on information provided through Ownly.

4. Financial Information

Any investment examples, hypothetical portfolios, calculations, simulations, market information, or other financial exercises provided through Ownly are educational in nature.

Past performance does not guarantee future results.

Ownly does not guarantee that any hypothetical example, calculation, projection, or educational material will accurately predict actual financial or investment outcomes.

5. Acceptable Use

You agree not to:

  • Use Ownly for unlawful purposes;
  • Provide false or misleading information;
  • Circumvent Ownly's age requirement;
  • Use another person's account without permission;
  • Attempt to access another user's information;
  • Attempt to gain unauthorized access to Ownly's systems;
  • Interfere with or disrupt the Service;
  • Introduce malicious software or code;
  • Use any bot, scraper, crawler, spider, or other automated means to access, index, or systematically collect content, data, or output from Ownly without our prior written authorization;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Service, except to the extent such a restriction is prohibited by applicable law;
  • Copy, mirror, "frame," clone, or replicate the Service or any substantial part of its design, functionality, curriculum, or output, whether for a competing product or otherwise;
  • Use any content, output, structure, or data obtained from Ownly to train, fine-tune, evaluate, or otherwise develop any artificial intelligence or machine learning model;
  • Circumvent, disable, or interfere with any security, rate-limiting, or access-control feature of the Service;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary-rights notice appearing on or in the Service; or
  • Use Ownly in a manner that violates these Terms or applicable law.

Violation of this Section is a material breach of these Terms and may result in immediate suspension or termination of your account in addition to any other remedies available to Ownly under Section 7.

6. Third-Party Services

Ownly may use third-party services and technologies to develop, host, authenticate, secure, and operate the Service.

These services may include Google, Vercel, GitHub, Anthropic/Claude, and other providers.

Third-party services may have their own terms and privacy policies. Ownly is not responsible for the independent practices or availability of third-party services.

7. Intellectual Property

7.1 Ownership

The Service, and everything provided through it, is owned by Ownly or its licensors and is protected by copyright, trademark, trade-secret, and other intellectual-property laws of the United States and other countries. That includes the Ownly name and the visor-bot logo; the source code and object code; the software architecture; the curriculum, and every lesson, unit, and diagram in it; the Otis assistant, including its underlying instructions and prompt design; the grading rubric and scoring methodology; the lesson-recommendation and relevance logic; the user-interface design; and all other original text and graphics made available through the Service. We refer to all of it together as "Ownly Materials."

Ownly Materials are provided to you for your own use of the Service. Nothing in these Terms transfers any ownership of Ownly Materials to you.

7.2 Limited License

Subject to your compliance with these Terms, Ownly grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own personal, non-commercial, educational purposes. This license does not include any right to resell, sublicense, or make commercial use of the Service or Ownly Materials, and no other rights are granted, whether by implication, estoppel, or otherwise. All rights not expressly granted in these Terms are reserved by Ownly.

7.3 Prohibited Uses

Except as permitted by law or expressly authorized by Ownly in writing, you may not:

  • Copy, reproduce, distribute, publicly display, publicly perform, modify, translate, or create derivative works based on Ownly Materials;
  • Sell, rent, lease, sublicense, or otherwise commercially exploit Ownly Materials;
  • Use Ownly Materials, in whole or in part, to build, train, or improve a competing product or service, or any artificial intelligence or machine learning model; or
  • Extract, republish, or systematically archive the curriculum, lesson content, diagrams, or Otis's output outside the Service.

These restrictions are in addition to, and not a substitute for, the Acceptable Use restrictions in Section 5.

7.4 Confidential and Proprietary Information

Certain elements of the Service are not merely copyrighted but are confidential trade secrets of Ownly, including (without limitation) Otis's underlying instructions and prompt design, the grading and scoring rubric, the lesson-recommendation and relevance algorithms, and other internal methods and logic, whether or not individually marked "confidential." You agree not to access, extract, disclose, or use this information for any purpose other than your own ordinary use of the Service as intended, and not to disclose it to any third party.

7.5 Trademarks

"Ownly," the Ownly logo, and other names, marks, and logos used in connection with the Service are trademarks of Ownly. You may not use them without Ownly's prior written permission. Other trademarks appearing on the Service belong to their respective owners.

7.6 Enforcement

Unauthorized copying, distribution, or use of Ownly Materials may cause Ownly irreparable harm for which monetary damages alone would be an inadequate remedy. In addition to any other remedies available at law or in equity, Ownly may seek injunctive relief to stop such use, and may recover its costs and reasonable attorneys' fees where permitted by applicable law. Ownly reserves the right to suspend or terminate the account of, and pursue all available remedies against, any user who violates this Section.

If you believe someone has copied Ownly's content or cloned the Service, please report it to ownlyeducation@gmail.com.

8. Feedback

If you voluntarily provide feedback, suggestions, or ideas regarding Ownly, you permit Ownly to use that feedback to improve the Service without compensation or obligation to you.

9. Privacy

Your use of Ownly is also governed by the Ownly Privacy Policy.

The Privacy Policy explains what information we collect, how we use it, how it may be shared, and the choices available to users.

10. Service Availability

We may modify, update, suspend, or discontinue any part of Ownly at any time.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.

11. Account Suspension or Termination

Ownly may suspend or terminate an account if we reasonably believe that:

  • The user has violated these Terms;
  • The user does not meet the minimum age requirement;
  • The account presents a security or safety risk;
  • The user has provided materially false information;
  • The Service is being used unlawfully; or
  • Suspension or termination is reasonably necessary to protect Ownly, its users, or others.

You may stop using Ownly at any time.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Ownly is provided on an "as is" and "as available" basis.

We do not guarantee that Ownly or its content will always be accurate, complete, current, secure, uninterrupted, or error-free.

Nothing in these Terms is intended to exclude or limit any rights or protections that cannot legally be excluded or limited.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ownly and its owners, operators, employees, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Service.

Nothing in these Terms limits liability or rights that cannot legally be limited.

14. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice appropriate to the circumstances.

The updated Terms will become effective on the date stated in the revised Terms.

15. Governing Law

These Terms will be governed by the laws of the State of New Jersey, except where applicable law requires otherwise.
